ON!Track Logo Release Form

PERMISSION TO USE LOGO

This Permission to Use Logo (“PTU”) confirms that [Company] (“Company“) grants Hilti,Inc. (“Hilti”) permission to use the logo attached hereto as Exhibit A (the “Logo”) inconjunction with Hilti’s advertisements and marketing materials regarding Hilti’s On!TrackSoftware Solution and related products (“On!Track Activities”).Company grants Hilti a non-exclusive, non-revocable, unlimited, worldwide right in allmedia, in perpetuity, to use, display, distribute and exhibit the Logo, or any part thereof,solely in connection with On!Track Activities. Any other use of the Logo not expresslyindicated in this PTU is prohibited.

Company represents and warrants that it owns all right, title and interest in and to the Logoand that no other permissions are required for use.Company agrees to indemnify, defend, and hold harmless Hilti and its affiliates from and against any claim, suits, actions, loss, damages, liabilities, costs, and expenses (including attorneys’ fees) arising out of or related to Company’s representations and warranties herein.

Hilti agrees to reasonably comply with any Logo guidelines requested in writing by Company. This PTU represents the entire understanding between Company and Hilti. This PTU does not create a partnership, joint venture, franchise, agency, or employment between Company and Hilti. This PTU is not an endorsement or sponsorship by Hilti of the Logo or Company. Changes to this PTU are void and of no effect without Hilti’s prior written consent. This PTU is governed by the laws of the State of Texas (without regard to the conflicts of law provisions therein) in the state and federal courts residing in Plano, TX.
